1. Agreement to Terms

By downloading, installing, or using the Materium application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. Materium ("we," "us," or "our") reserves the right to update these Terms at any time; continued use of the App after changes constitutes acceptance of the revised Terms.

2. Description of the App

Materium is an AI-powered material analysis application that allows you to scan everyday objects and receive information about their material composition, recyclability, sustainability context, and related patent or innovation insights. Some features require a paid subscription.

3. Eligibility

You must be at least 13 years of age (or the minimum age in your jurisdiction to consent to use of the App) to use Materium. By using the App, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

4. Account and Registration

You may create an account using email, or sign in with Apple or Google. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorized use.

5. Subscription and Payment Terms

Premium features are offered through in-app subscriptions (e.g., weekly or yearly plans), which may include a free trial. Payment is processed by the applicable platform (Apple App Store or Google Play). Subscription terms, renewal, cancellation, and refunds are governed by the platform's policies. We do not control pricing or refunds; please manage subscriptions through your device or platform account settings.

6. Acceptable Use

You agree not to use the App: (a) for any illegal purpose or in violation of any laws; (b) to harm, harass, or abuse others; (c) to attempt to reverse-engineer, copy, or extract the App's source code or AI models; (d) to overload or disrupt our services or networks; or (e) to scrape or automate access in a way that circumvents normal use. We may suspend or terminate your access for violations of these Terms.

7. Intellectual Property

The App, including its design, text, graphics, software, and AI-powered outputs (excluding user-generated content), is owned by us or our licensors and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent. Scan results and reports generated for you may be used for personal, non-commercial purposes in accordance with these Terms.

8. AI Disclaimer and General Disclaimers

THE APP AND ITS CONTENT (INCLUDING AI-GENERATED MATERIAL ANALYSIS AND SUSTAINABILITY INFORMATION) ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF SCAN RESULTS. USE THE APP FOR INFORMATIONAL PURPOSES ONLY; DO NOT RELY ON IT AS THE SOLE BASIS FOR RECYCLING, DISPOSAL, OR REGULATORY DECISIONS. WE ARE NOT LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF THE APP.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE APP OR THESE TERMS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

10. Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the App, you consent to the practices described in the Privacy Policy.

11. Termination

We may terminate or suspend your access to the App at any time, with or without cause or notice. Upon termination, your right to use the App ceases. Provisions that by their nature should survive (including disclaimers, limitation of liability, and dispute resolution) will survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the United States and the state in which we operate, without regard to conflict of law principles. Any dispute arising from these Terms or the App shall be resolved in the courts of competent jurisdiction in that state. If you are in the European Union or another jurisdiction with mandatory consumer protection laws, your statutory rights remain unaffected.
